These Terms of Use (“Terms”) govern your access to and use of https://xywprinting.com/ and the printing, sampling, quotation, production, and related services provided by XYW, operated by Dongguan Xinyouwei Transfer Technology Co., Ltd. (“XYW,” “we,” “us,” or “our”).

By accessing the Website, submitting an enquiry, requesting a quotation, approving a sample, or placing an order, you agree to these Terms.

If you do not agree with these Terms, do not use the Website or our services.

1. About XYW

XYW is a custom printing service provider based in Dongguan, Guangdong, China.

Our services may include:

• Screen printing;
• Heat transfer printing;
• UV printing;
• UV flatbed printing;
• UV DTF printing;
• Sample proofing;
• Artwork preparation;
• Product customization;
• Packaging;
• Production coordination; and
• Related services agreed in writing.

2. Eligibility

You must be legally capable of entering into a binding agreement to use our services.

If you use the Website or place an order on behalf of a company or organization, you confirm that:

• You are authorized to bind that organization;
• The information you provide is accurate; and
• The organization accepts these Terms.

Our services are primarily intended for businesses, brands, organizations, and adult customers.

3. Website Information

We aim to present accurate descriptions of our printing services, capabilities, materials, processes, and examples.

However:

• Website images may be illustrative;
• Screen colors may differ from physical printed colors;
• Product and material availability may change;
• Printing results depend on the artwork, material, coating, shape, quantity, and selected method;
• Specifications may be updated without prior notice; and
• Website content does not constitute a binding production commitment unless included in an accepted quotation or order confirmation.

We may correct errors, inaccuracies, or omissions at any time.

4. Quotations

Quotations are based on the information available when they are prepared, including:

• Product type;
• Material;
• Dimensions;
• Print area;
• Artwork;
• Number of colors;
• Printing method;
• Quantity;
• Packaging;
• Delivery destination;
• Delivery deadline; and
• Other requested specifications.

Unless otherwise stated, quotations:

• Are estimates until all project details are confirmed;
• Are valid for the period stated in the quotation;
• May exclude taxes, customs duties, import charges, bank fees, and local delivery charges;
• May change if specifications, materials, quantities, artwork, or delivery requirements change; and
• Do not reserve production capacity until the required payment or deposit is received.

A quotation becomes binding only after we issue written order confirmation or otherwise accept the order in writing.

5. Artwork and Customer Content

You are responsible for ensuring that all artwork, logos, text, photographs, designs, trademarks, instructions, and other content you provide are accurate and legally authorized.

By providing customer content to us, you confirm that:

• You own the content or have permission to use it;
• The content does not infringe copyright, trademark, design, privacy, publicity, or other rights;
• The content is not unlawful, fraudulent, defamatory, hateful, or misleading;
• The content complies with applicable law; and
• We may reproduce, adapt, process, and use it as necessary to prepare samples and complete your order.

You grant us a limited, non-exclusive licence to use customer content solely for quotation, artwork preparation, sampling, production, quality control, packing, and order fulfilment.

We may refuse content or projects that we reasonably believe are unlawful, infringing, deceptive, unsafe, discriminatory, or otherwise inappropriate.

You agree to be responsible for claims, losses, and reasonable costs arising from content you were not authorized to use.

6. Artwork Preparation and File Quality

You are responsible for reviewing:

• Spelling;
• Dimensions;
• Colors;
• Logo accuracy;
• Print position;
• Product information;
• Contact details;
• Barcodes;
• Regulatory marks; and
• Other content appearing in the artwork.

Recommended files may include AI, EPS, PDF, SVG, and high-resolution PNG or JPG files.

Low-resolution images, unsuitable colors, thin lines, missing fonts, transparency effects, or improperly prepared files may affect the result.

Where we adjust or recreate artwork, additional charges may apply. We will not be responsible for errors already present in customer-supplied artwork or errors approved by the customer.

7. Proofs and Samples

We may provide:

• Digital proofs;
• Photographs;
• Printed samples;
• Pre-production samples; or
• Material tests.

A digital proof primarily confirms layout, size, wording, and placement. It may not accurately reproduce physical color, texture, gloss, adhesion, thickness, or material appearance.

A physical sample provides a better representation but may still vary slightly from bulk production because of material batches, ink conditions, equipment settings, and normal manufacturing tolerances.

When you approve a proof or sample, you authorize production based on that approval.

Any change requested after approval may result in:

• Additional charges;
• A revised quotation;
• Production delays;
• New sample charges; or
• Materials already purchased becoming non-refundable.

“Free sample proofing,” where offered, applies only under the conditions stated in the quotation. Shipping, special materials, repeated revisions, tooling, screens, moulds, or multiple samples may still be chargeable.

8. Color and Production Tolerances

Printing is a physical manufacturing process. Exact reproduction cannot always be guaranteed.

Reasonable variations may occur in:

• Color;
• Print placement;
• Ink coverage;
• Texture;
• Adhesion;
• Gloss;
• Product dimensions;
• Material shade;
• Surface appearance; and
• Batch consistency.

Colors shown on phones and monitors are affected by screen calibration and may differ from printed products.

Pantone, CMYK, RGB, and other color references may produce different results depending on material, ink, coating, curing, and lighting.

Where color accuracy is important, you should request a physical sample and provide an appropriate reference before production.

Normal manufacturing tolerances are not defects.

9. Materials and Product Compatibility

Printing performance depends on the product material and surface condition.

Some materials may require:

• Cleaning;
• Primer;
• Pre-treatment;
• Adhesion testing;
• Special ink;
• Lower heat;
• Additional curing;
• Coating;
• Lamination; or
• A different printing method.

Information about the material must be accurate. We are not responsible for failures caused by incorrect, incomplete, or undisclosed material information supplied by the customer.

Where the customer supplies blank products, we may require additional pieces for setup and testing. We are not responsible for hidden defects, inconsistent coatings, contamination, or variations in customer-supplied products.

10. Orders and Changes

An order is accepted when we issue confirmation, receive the required payment, or begin work with your authorization.

Changes after acceptance are subject to our approval.

Any change to:

• Artwork;
• Product;
• Material;
• Quantity;
• Print size;
• Print position;
• Color;
• Packaging;
• Delivery address; or
• Deadline

may affect the price and completion date.

We are not required to accept changes after production has started.

11. Pricing and Payment

Prices are stated in the currency shown in the quotation or invoice.

Unless otherwise agreed:

• Deposits may be required before artwork preparation, sampling, material purchasing, or production;
• Remaining balances must be paid before shipment;
• Bank, payment platform, and currency conversion fees are the customer’s responsibility;
• Late payment may delay production or delivery; and
• We may suspend work until overdue amounts are paid.

Ownership of completed goods does not pass to the customer until we receive full payment, to the extent permitted by applicable law.

12. Taxes, Customs, and Import Charges

Unless stated otherwise, prices do not include:

• Value-added tax;
• Sales tax;
• Customs duties;
• Import taxes;
• Brokerage fees;
• Inspection charges;
• Local handling charges; or
• Other destination-country fees.

The customer is responsible for confirming import requirements and paying charges imposed by the destination country.

We are not responsible for customs delays, inspections, seizures, or additional charges resulting from destination-country rules, customer instructions, or incomplete information.

13. Production and Delivery Times

Production and delivery dates are estimates unless we expressly guarantee a deadline in writing.

Lead times may begin only after:

• Artwork is approved;
• Samples are approved, where required;
• Product specifications are confirmed;
• Required payment is received; and
• Necessary materials are available.

Delays may result from:

• Artwork revisions;
• Late approvals;
• Material shortages;
• Equipment maintenance;
• Quality rework;
• Shipping disruption;
• Customs procedures;
• Weather;
• Public holidays;
• Carrier delays; or
• Events beyond our reasonable control.

We will make reasonable efforts to communicate material delays but are not responsible for indirect losses caused by estimated delivery dates.

14. Shipping and Risk

Shipping terms, carrier, destination, and costs will be stated in the quotation, invoice, or shipping confirmation.

Depending on the agreed shipping term:

• Risk may pass when goods are handed to the carrier;
• The customer may be responsible for customs clearance;
• Shipping insurance may be optional; and
• Delivery may require a signature.

You must provide a complete and accurate delivery address.

We are not responsible for delays or losses caused by incorrect addresses, unavailable recipients, customs holds, customer-requested carrier changes, or failure to pay import charges.

Any visibly damaged shipment should be photographed and reported to the carrier and to us promptly.

15. Inspection and Claims

You must inspect delivered goods promptly.

Unless a different period is agreed in writing, claims for:

• Incorrect products;
• Incorrect quantities;
• Visible print defects;
• Transit damage; or
• Material non-conformity

should be submitted within seven calendar days after delivery.

A claim should include:

• Order or invoice number;
• Description of the issue;
• Quantity affected;
• Clear photographs or video;
• Packaging photographs, where relevant; and
• Any other information reasonably requested.

Do not discard, use, resell, alter, or destroy disputed goods before we have had a reasonable opportunity to review the claim.

Claims submitted after products have been used, washed, modified, resold, or combined with other goods may be rejected where the issue can no longer be reasonably verified.

16. Remedies for Defective Work

If we confirm that products materially fail to meet the approved specifications because of our production error, we may, at our option and subject to applicable law:

• Reprint the affected quantity;
• Repair or replace affected items;
• Provide a reasonable credit;
• Provide a partial refund; or
• Refund the price paid for the verified defective items.

These remedies do not apply to:

• Approved artwork errors;
• Normal production tolerances;
• Minor color variation;
• Incorrect customer instructions;
• Unsuitable customer-supplied materials;
• Damage caused by misuse, washing, abrasion, chemicals, heat, storage, or handling;
• Unauthorized alterations; or
• Products used outside their intended purpose.

17. Cancellations

Because our services are customized, cancellation may not be possible after artwork, samples, screens, transfers, materials, or production work has begun.

If we accept a cancellation, the customer remains responsible for costs already incurred, including:

• Artwork preparation;
• Samples;
• Screens;
• Films;
• Transfers;
• Materials;
• Production work;
• Packaging;
• Payment charges; and
• Non-cancellable supplier commitments.

Custom-made products are generally not returnable merely because the customer changes their mind.

Mandatory consumer rights, where applicable, are not excluded.

18. Intellectual Property

The Website and its original content, including text, graphics, layout, service descriptions, photographs, icons, logos, and software, are owned by or licensed to XYW and are protected by applicable intellectual property laws.

You may not copy, reproduce, republish, distribute, modify, scrape, commercially exploit, or create derivative works from Website content without written permission.

Customer-owned artwork remains the property of the customer or its respective rights holder.

Unless otherwise agreed, our production methods, internal specifications, templates, technical processes, quotations, and know-how remain our property.

19. Project Photography and Portfolio Use

We will not claim ownership of customer artwork.

Unless you have agreed otherwise, we will not intentionally publish confidential or unreleased customer projects.

Where permitted by the customer, we may photograph completed work and use non-confidential images in our portfolio, Website, social media, trade presentations, or marketing materials.

You may notify us in writing before production if a project is confidential or must not be photographed or displayed.

20. Acceptable Website Use

You must not:

• Use the Website unlawfully;
• Submit malicious files or code;
• Attempt unauthorized access;
• Interfere with Website security;
• Scrape or harvest information without permission;
• Impersonate another person or company;
• Submit fraudulent enquiries;
• Upload infringing or harmful content; or
• Use automated systems in a manner that burdens the Website.

We may suspend or restrict access where misuse is suspected.

21. Third-Party Services and Links

The Website may link to or integrate third-party services, including payment providers, logistics providers, maps, social media platforms, or communication tools.

We do not control these services and are not responsible for their availability, content, security, policies, or performance.

Your use of third-party services may be governed by separate terms.

22. Disclaimer

To the extent permitted by law, the Website and general Website content are provided on an “as available” basis.

We do not warrant that:

• The Website will always be uninterrupted or error-free;
• Every material is suitable for every printing process;
• Website colors will exactly match physical output;
• Estimates will remain valid after specifications change; or
• General Website information will be suitable for every project.

Specific production obligations arise from the accepted quotation, approved proof or sample, order confirmation, and agreed specifications.

23. Limitation of Liability

Nothing in these Terms excludes liability that cannot legally be excluded.

To the maximum extent permitted by law, XYW will not be liable for:

• Lost profits;
• Lost business;
• Lost contracts;
• Loss of goodwill;
• Loss of anticipated savings;
• Indirect or consequential losses;
• Customer commitments made before sample approval;
• Customs delays;
• Carrier delays;
• Errors approved by the customer; or
• Unauthorized use of third-party intellectual property supplied by the customer.

Where liability can lawfully be limited, our aggregate liability relating to an order will not exceed the amount paid to us for the portion of the order giving rise to the claim.

24. Indemnification

To the extent permitted by law, you agree to indemnify and hold XYW harmless from third-party claims, losses, liabilities, and reasonable costs arising from:

• Artwork or content supplied by you;
• Infringement of third-party rights;
• Unlawful product instructions;
• Incorrect material information;
• Your misuse of the Website; or
• Your breach of these Terms.

25. Force Majeure

We are not responsible for delay or failure caused by events beyond our reasonable control, including:

• Natural disasters;
• Fire or flooding;
• Epidemics;
• War or civil disturbance;
• Government restrictions;
• Export or import controls;
• Power or network failures;
• Labor disruption;
• Material shortages;
• Carrier disruption;
• Port congestion; or
• Customs action.

We will make reasonable efforts to reduce the effect of such events.

26. Governing Law and Disputes

These Terms and any dispute relating to them are governed by the laws of the People’s Republic of China, without regard to conflict-of-law principles.

Unless mandatory law requires otherwise, the courts located in Dongguan, Guangdong, China will have exclusive jurisdiction.

Before starting formal proceedings, the parties agree to make reasonable efforts to resolve the dispute through good-faith communication.

Nothing in this section removes any mandatory rights or remedies that cannot lawfully be excluded in the customer’s country.

27. Changes to These Terms

We may update these Terms when our services, Website, business practices, or legal requirements change.

The revised Terms will be posted with an updated “Last Updated” date. Changes apply prospectively unless applicable law requires otherwise.

Terms accepted for a confirmed order will continue to govern that order unless both parties agree to replace them.

28. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect.

The invalid provision will be interpreted or modified only to the extent necessary to make it enforceable where legally permitted.

29. Entire Agreement

For a specific order, these Terms, together with the accepted quotation, invoice, approved artwork, approved sample, order confirmation, and any written amendments, form the agreement between the parties.

If there is a conflict, the following order of priority applies unless otherwise agreed:

1. A signed written agreement;
2. The order confirmation or accepted quotation;
3. The approved specifications and sample;
4. These Terms;
5. General Website content.
